These Terms of Service (“Terms”) govern use of Capitalyx (“Service”), operated by Ase Studios, LLC (“Capitalyx”, “we”, “our”, “us”). By accessing or using the Service, you agree to these Terms and our Privacy Policy.
You must be at least 18 and legally able to enter contracts. If using Capitalyx for an entity, you represent you have authority to bind that entity.
You are responsible for account credentials, activity under your account, and promptly notifying us of unauthorized access.

By subscribing, you acknowledge and agree there is no reimbursement or refund for subscription charges, except where required by law. Billing disputes must be submitted promptly to support@getcapitalyx.com.
You retain ownership of your data. You grant us a limited license to host, process, and transmit data solely to provide, secure, and improve the Service.
We will use reasonable safeguards to protect customer confidential information and only use it as required to provide the Service and meet legal obligations.
The Service, software, models, branding, and content are owned by Capitalyx or licensors and protected by law. No rights are granted except as expressly stated.
The Service may rely on third parties (e.g., hosting, payments, authentication, AI). We are not responsible for third-party outages or failures outside our reasonable control.
We may suspend or terminate access for Terms violations, security risks, legal compliance, non-payment, or abuse. You may stop using the Service at any time.
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
To the maximum extent permitted by law, Capitalyx is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business interruption.
Our aggregate liability for all claims arising out of or related to the Service will not exceed the greater of: (a) amounts paid by you to us in the 12 months before the claim, or (b) USD $100.
You agree to defend, indemnify, and hold harmless Capitalyx and its officers, directors, employees, and agents from claims arising from your data, your use of the Service, or your violation of these Terms or applicable law.
You represent you are not located in, organized under, or ordinarily resident in restricted jurisdictions and are not on any prohibited-party list. You will comply with applicable export and sanctions laws.
Any dispute not resolved informally within 30 days shall be resolved by binding individual arbitration in New York, NY (unless prohibited by law). You and Capitalyx waive jury trial and participation in class or representative actions.
These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules.
We may modify these Terms by posting an updated version and updating the “Last updated” date. Material changes may be communicated by email or in-app notice.
Sections that by nature should survive termination (including payment, IP, disclaimers, limitations, indemnity, dispute terms) survive.
